1. Introduction & Acceptance of Terms


Welcome to PointSwitch, Inc. (d/b/a “Margin”) (“Margin,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website located at www.viewmargin.com (the “Site”) and any related services we provide (collectively, the “Services”). We have made these Terms available to you via a link in the footer of the Site. By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

The Service is a platform designed to help companies better understand their unit economics through data integration, modeling, and visualization.

If you do not agree to these Terms, you should not access or use our Site or Services.


2. Eligibility, Changes to Terms & User Responsibilities


2.1 Eligibility


By using our Site or Services, you represent and warrant that:

  1. You are at least 18 years old;

  2. All information you submit is truthful, accurate, and complete;

  3. Your use of the Site or Services does not violate any applicable law or regulation.


2.2 Changes to These Terms


We reserve the right to modify these Terms at any time. If we make changes, we will post the updated Terms on our Site and update the “Effective Date” accordingly. Your continued use of the Site or Services after any such changes constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must discontinue use of the Site and Services.


2.3 User Responsibilities


When accessing or using our Site and Services, you agree that you will:

  • Comply with all applicable laws, regulations, and these Terms;

  • Provide accurate and current information as requested (e.g., if creating an account or submitting data through our platform);

  • Use the Site and Services only for their intended purposes and in a manner consistent with all applicable laws;

  • Immediately notify us if you become aware of any unauthorized use of our Services or any breach of security.


2.4 Prohibited Activities


You further agree that you will not engage in any of the following prohibited activities:

  • Collecting or harvesting any personally identifiable information from the Site or Services for the purpose of sending unsolicited communications;

  • Impersonating another user or person, or misrepresenting your affiliation with any entity;

  • Uploading, posting, or otherwise transmitting any data that you do not have the legal right or permission to use, including personal data of third parties if you do not have their consent.


3. User Accounts, Disclaimers & Limitation of Liability


3.1 User Accounts


  1. Account Creation
    Certain features of our Services may require you to create a user account. When you create an account, you must provide accurate and up-to-date information.


  2. Account Security
    You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.


  3. Account Suspension or Termination
    We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or otherwise acted in a manner that may bring harm to us or our users.


3.2 Disclaimers


  1. “As Is” and “As Available” Basis
    Margin provides the Site and Services on an “as is” and “as available” basis without any warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.


  2. No Guarantee of Error-Free Operation
    We do not guarantee that the Site or Services will be uninterrupted, timely, secure, or error-free. You agree that from time to time we may remove or limit access to certain features for indefinite periods of time or cancel the Services without notice.


  3. No Endorsement
    Reference to any products, services, processes, or other information by trade name, trademark, manufacturer, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation by Margin. We assume no responsibility for any third-party content accessed via links on our Site.


  4. Data and Analytical Outcomes
    Our platform helps companies better understand their unit economics, including data integration, modeling, and visualization. However, the accuracy and completeness of any data or analysis depends on the quality and completeness of the information you provide. We do not guarantee any particular result or outcome from using our Services.


3.3 Limitation of Liability


  1. No Liability for Certain Damages
    To the fullest extent permitted by applicable law, Margin (and our officers, directors, employees, agents, affiliates, and licensors) shall not be liable to you under any theory of liability—whether in contract, tort (including negligence), breach of statutory duty, or otherwise—for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.


  2. Aggregate Liability Cap
    To the extent permitted by law, our total liability for all claims arising out of or relating to these Terms, the Site, or the Services shall not exceed the greater of (a) the amounts you have paid us (if any) for the Services in the six (6) months preceding the events giving rise to the claim, or (b) one hundred U.S. dollars ($100).


  3. Exceptions
    Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. Accordingly, some of the above disclaimers and limitations may not apply to you. In such jurisdictions, Margin’s liability will be limited to the greatest extent permitted by law.


  4. Reliance on Customer Agreements
    If you are a customer with a separate, signed agreement covering the Services (e.g., a Master Service Agreement, Data Processing Agreement, or similar contract), then the terms of that agreement may supersede or supplement these Terms with respect to issues of intellectual property, payments, or other matters. In the event of a conflict between these Terms and your Customer Agreement, the Customer Agreement will control.


4. Governing Law, Dispute Resolution, Termination & Miscellaneous


4.1 Governing Law


These Terms and any dispute arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any conflict of laws principles that would require the application of the laws of a different jurisdiction. We recognize that users in other jurisdictions (including Canada, the UK, and the EU) may have mandatory consumer protection laws or other local regulations; where those laws apply, they are not superseded by this clause.


4.2 Dispute Resolution


  1. Initial Resolution
    In the event of any dispute, claim, or controversy (“Dispute”) arising under or relating to these Terms or the Services, the parties agree to first attempt to resolve the Dispute through good-faith negotiations.


  2. Venue & Jurisdiction
    If a Dispute cannot be resolved informally, any legal action arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. If you reside in or are located in a jurisdiction that does not allow for this choice of venue, such mandatory provisions may apply instead; however, in all other respects, this clause shall be enforced to the maximum extent permitted by law.


  3. No Class Actions
    To the extent permitted by law, all Disputes will be resolved on an individual basis, and you agree not to bring any claim in a class, consolidated, or representative action.


  4. Exceptions
    Notwithstanding anything to the contrary, Margin may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.


4.3 Termination


  1. Termination by Margin
    We may terminate or suspend your access to the Site or Services, with or without notice, if we believe you have breached any provision of these Terms or if we decide to discontinue offering the Site or Services.


  2. Termination by You
    You may terminate these Terms at any time by discontinuing the use of our Site and Services. If you have an account, you may also deactivate or request the deletion of your account.


  3. Effect of Termination
    Upon termination, your right to access or use the Site and Services will immediately cease. The disclaimers, limitations of liability, and governing law provisions, as well as any other provisions that by their nature should survive termination, shall continue to apply.


4.4 Miscellaneous


  1. Entire Agreement
    These Terms, together with our Privacy Policy and any applicable Customer Agreement, constitute the entire agreement between you and Margin regarding your use of the Site or Services, and supersede any prior agreements or understandings, whether written or oral.


  2. Severability
    If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck, and the remaining provisions will remain in full force and effect.


  3. No Waiver
    Our failure to enforce any right or provision of these Terms will not operate as a waiver of such right or provision.


  4. Assignment
    You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms at our discretion without restriction.


  5. Force Majeure
    We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, labor disputes, war, terrorism, riots, governmental action, or failures of the internet or utilities.


  6. Relationship of the Parties
    Nothing in these Terms shall be construed to create a partnership, joint venture, employer-employee, or agency relationship between you and Margin.
